CERTIFICATE OF APPOINTMENT OF SUCCESSOR TRUSTEE

We, the undersigned, being all of the beneficiaries under that certain Agreement and Declaration of Trust dated , by and between the undersigned and , as the original Trustee, do hereby certify that we have this day duly elected , to succeed to the office of Trustee under said Agreement and Declaration of Trust, and to the title of all the properties of the Trust, with all the powers and subject to all the restrictions upon the original Trustee, with the same powers, rights and interests regarding the Trust property and subject to the same restrictions and duties as the original Trustee, except as the same shall have been heretofore modified by amendment.
